Terms of Service
Last updated: 21 October 2026
The short version
- The Wharf is a trading journal. It records and analyses your own trades. It is not financial advice and does not place trades.
- Monthly and yearly plans start with a 7-day free trial. You add a card to start it, and you are charged when the trial ends unless you cancel before then. The app reminds you before it ends.
- Plans renew automatically until you cancel. You can cancel any time in Settings → Manage billing and keep access until the end of the period you have paid for.
- Your journal belongs to you. You can download it any time.
- Your rights under the Australian Consumer Law always apply. Nothing in these terms takes them away.
This summary is for convenience. The full terms below are the agreement between us.
1. About these terms
1.1 These Terms of Service ("Terms") govern your use of The Wharf, including the website at thewharf.app, the installable app, and all related features and services (together, the "Service").
1.2 The Service is operated by William Harford, trading as The Wharf (ABN 45 179 277 165), of Victoria, Australia ("we", "us", "our"). You can contact us at [email protected].
1.3 By creating an account, starting a free trial, purchasing a plan or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1.4 You must be at least 18 years old and able to enter into a binding contract to use the Service.
1.5 If you use the Service on behalf of a business, you confirm you are authorised to accept these Terms on its behalf, and "you" includes that business.
2. Your account
2.1 You must give us accurate information when you create your account and keep it up to date.
2.2 Your account is for one person. You must not share your login or let anyone else use your account.
2.3 You are responsible for keeping your password secure and for all activity on your account. Tell us promptly at [email protected] if you believe your account has been accessed without your permission.
2.4 To protect accounts, we may temporarily pause sign-in after repeated failed attempts.
3. Plans, free trial and payment
3.1 Plans. The Service is offered on a monthly plan, a yearly plan and, while places remain, a one-off founding-member lifetime plan. Current prices are shown on our website and at checkout. All prices are in Australian dollars and include GST where GST applies.
3.2 Free trial. Monthly and yearly plans start with a free trial of 7 days.
- (a) To start the trial you must add a valid payment card at checkout. You will not be charged during the trial.
- (b) Unless you cancel before the trial ends, your plan starts automatically when the trial ends and the first payment for your chosen plan is charged to your card at that time. The date your trial ends is shown on the checkout page and in the app, and the app reminds you before the trial ends.
- (c) You can cancel during the trial at any time from Settings → Manage billing. If you do, you will not be charged and you keep access until the trial ends.
- (d) The free trial is available once per person. We may decline a trial where we reasonably believe it is being used more than once, for example through multiple accounts.
3.3 Automatic renewal. Monthly and yearly plans are paid in advance and renew automatically at the end of each billing period at the then-current price for your plan, until you cancel.
3.4 Founding-member lifetime plan.
- (a) The lifetime plan is a one-off payment, charged at checkout. It does not include a free trial.
- (b) "Lifetime" means access to the Service, including features added in the future, for as long as we operate the Service. It is personal to you and cannot be transferred or resold.
- (c) Lifetime members receive a "Lifetime member" tag in Communities.
- (d) If we permanently discontinue the Service within 24 months after you bought the lifetime plan, we will refund a pro-rata portion of the price for the unused part of that 24-month period. If we discontinue it later, no refund is payable, except where the law requires it. Either way, we will give you at least 60 days' notice and the chance to download your data.
- (e) The lifetime plan is limited to the number of places shown on our website. When they are gone, the offer ends.
3.5 Payment processing. Payments are processed by Stripe. You authorise us, through Stripe, to charge your payment method for all amounts due under your plan. We never receive or store your full card details.
3.6 Failed payments. If a payment fails, Stripe may retry it. If it still cannot be collected, we may suspend paid features until payment is made. Your journal is kept and remains available for download.
3.7 Price changes. We may change the price of monthly or yearly plans. We will email you at least 30 days before a new price applies to you. It takes effect from your next renewal after that notice, and you can cancel before then if you do not wish to continue. Price changes never affect a lifetime plan you have already bought.
3.8 Discount codes. Discount and promotion codes are subject to any conditions stated with them. They have no cash value, cannot be exchanged, and unless stated otherwise apply to monthly and yearly plans only and once per customer.
4. Cancelling, refunds and your consumer rights
4.1 Cancelling. You can cancel a monthly or yearly plan at any time from Settings → Manage billing. Cancellation stops future renewals. You keep access until the end of the period you have already paid for.
4.2 Refunds. Because you can try the Service free first, we do not give refunds for a change of mind or for partly used billing periods, except where these Terms or the law require it. If you have been charged in error, for example a duplicate charge, contact us within 30 days and we will put it right.
4.3 Australian Consumer Law. Our services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled to cancel your service contract and to a refund for the unused portion, or to compensation for its reduced value. You are also entitled to choose a refund or compensation for any other reasonably foreseeable loss or damage. If a failure does not amount to a major failure, you are entitled to have problems with the service rectified in a reasonable time and, if this is not done, to cancel your contract and obtain a refund for the unused portion of the contract.
4.4 Nothing in these Terms excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term or condition, implied or imposed by the Competition and Consumer Act 2010 (Cth) or any other law that cannot lawfully be excluded or limited ("Non-Excludable Rights").
5. Not financial advice
5.1 The Wharf is a record-keeping and analysis tool. It helps you record your own trades and shows factual information and statistics calculated from the data you enter.
5.2 Nothing in the Service is financial product advice, a recommendation or an opinion intended to influence you to buy, sell or hold any financial product. This includes statistics, reports, pattern alerts, Wharf scores, strategy tester results, AI-generated reviews, news, market data and community content. We do not hold an Australian financial services licence, and we do not take into account your objectives, financial situation or needs.
5.3 Calculations of prop firm rules (such as drawdown, daily loss limits and consistency rules) are estimates based on the settings you enter. They may not match your firm's own calculations. Always rely on your firm's dashboard and rules.
5.4 AI-generated content can be inaccurate or incomplete. Chart snapshots and charts are drawn from our own market data, which can differ from your broker's prices, so entries, stops, targets and outcomes shown may not match your platform.
5.5 Trading financial products, including leveraged products such as futures, CFDs, forex and cryptocurrency, carries a high risk of loss, and you may lose more than you deposit. Past performance is not a reliable indicator of future results. You are solely responsible for your trading decisions. Consider getting advice from a licensed adviser before you trade.
6. Market data and third-party services
6.1 The Service displays market data, economic calendars, news headlines and charts supplied by third parties, which may include Twelve Data, Binance, ForexFactory, TradingView and news publishers. This information is provided for general information only. It may be delayed, interrupted or inaccurate, and it is not suitable for making trading decisions.
6.2 The Service may let you import trades from other platforms and link to other websites. Your use of third-party platforms and websites is governed by their own terms, and we are not responsible for their content or availability.
6.3 The Wharf is not affiliated with, endorsed by or sponsored by any broker, prop firm, exchange or trading platform. Names and trademarks of those businesses belong to their owners and are used only to identify them.
7. Your content and data
7.1 You own the trades, notes, screenshots, settings and other content you add to the Service ("Your Content").
7.2 You grant us a non-exclusive, worldwide, royalty-free licence to host, store, copy, process and display Your Content only as needed to provide, secure and improve the Service for you. This includes generating statistics, charts and, when you request them, AI reviews. For content you choose to share in Communities, the licence extends to displaying it to the people you share it with.
7.3 We do not sell Your Content and we do not use your trades for advertising. How we handle personal information is set out in our Privacy Policy.
7.4 You can download a full copy of your journal at any time from Settings → Backup. We recommend you keep your own backups.
7.5 You confirm that you have the right to upload Your Content and that it does not infringe anyone else's rights.
8. Community rules
8.1 Communities let you post trades, chat, use voice channels and message other members. Your journal stays private unless you choose to share something.
8.2 When using Communities, you must not:
- (a) harass, bully, threaten, abuse or discriminate against anyone, or post hateful, violent, sexually explicit or otherwise offensive material;
- (b) post trade signals, investment recommendations or financial product advice, or promote paid groups, courses, signals or other services;
- (c) post scams, spam, misleading information or unsolicited advertising, or ask members for money or personal details;
- (d) impersonate any person or business, or misrepresent your results;
- (e) share anyone else's personal information without their consent;
- (f) post material that infringes intellectual property rights, or is unlawful; or
- (g) record voice channels without the consent of everyone present.
8.3 You are responsible for what you post. Content posted by other members is their own and does not reflect our views. We do not check it before it appears.
8.4 We may remove any content and restrict or suspend access to Communities where we reasonably believe these rules or the law have been broken. We may also cooperate with authorities, including the eSafety Commissioner, as required by law.
8.5 To report content or behaviour, email [email protected]. We aim to respond within 48 hours.
9. Acceptable use
9.1 You must not, and must not help anyone else to:
- (a) access or attempt to access other users' accounts or data;
- (b) probe, scan or test the security of the Service, or interfere with or overload it;
- (c) copy, decompile, reverse-engineer or create derivative works from the Service, except as the law allows;
- (d) scrape the Service or access it through automated means we have not authorised;
- (e) resell, sublicense or commercially exploit the Service or any data obtained from it, including market data;
- (f) get around plan limits, usage allowances (including AI review allowances) or other technical restrictions; or
- (g) use the Service for any unlawful purpose.
10. Our intellectual property
10.1 We, or our licensors, own all rights in the Service, including its software, design, branding, text and graphics. Subject to these Terms, we give you a personal, non-exclusive, non-transferable, revocable licence to use the Service for your own trading records while your account is in good standing.
10.2 If you send us feedback or suggestions, we may use them without any obligation to you.
11. Availability and changes to the Service
11.1 We take reasonable care to keep the Service available and your data safe. However, the Service is provided over the internet and relies on third-party providers, so it may sometimes be unavailable, slow or contain errors, including during maintenance.
11.2 We continually improve the Service and may add, change or remove features. If we remove a feature that is a material part of a paid plan, we will tell you in advance. If the change materially disadvantages you, you may cancel and receive a pro-rata refund of any unused prepaid fees.
11.3 Features marked "coming soon", "beta" or similar are provided as previews. They may change or be withdrawn, and they are not part of what you pay for until they are released.
12. Suspension and termination
12.1 You may stop using the Service and close your account at any time by contacting us. Closing your account does not by itself cancel a subscription, so cancel from Settings → Manage billing first.
12.2 We may suspend or close your account if you materially breach these Terms and, where the breach can be fixed, you have not fixed it within 14 days of our notice. We may act immediately, without notice, where we reasonably believe it is necessary to prevent fraud, unlawful activity, harm to other users or a threat to the security of the Service.
12.3 If we close your account for your breach, no refund is payable for any unused period or for a lifetime plan, except as required by law. If we close your account for any other reason, we will refund any unused prepaid fees on a pro-rata basis.
12.4 After your account is closed, we will give you at least 30 days to download your data, unless the law or the circumstances of the closure prevent it. After that we delete it as described in our Privacy Policy.
13. Liability
13.1 This clause is subject to clause 4 and your Non-Excludable Rights.
13.2 To the extent permitted by law, and except as set out in these Terms, the Service is provided "as is" and we give no other warranties, express or implied.
13.3 To the extent permitted by law, we are not liable for any trading losses, lost profits, lost opportunities, or indirect or consequential loss, however caused, arising from your use of, or inability to use, the Service.
13.4 Where the Service is not of a kind ordinarily acquired for personal, domestic or household use, our liability for a failure to comply with a consumer guarantee is limited, at our option, to supplying the services again or paying the cost of having them supplied again.
13.5 To the extent permitted by law, our total liability to you in connection with the Service, other than under your Non-Excludable Rights, is limited to the amount you paid us in the 12 months before the event giving rise to the claim.
13.6 Our liability is reduced to the extent that any loss was caused or contributed to by you, by a breach of these Terms, or by third-party services outside our control.
13.7 Nothing in these Terms limits liability for fraud or for anything else that cannot be limited by law.
14. Your responsibility to us
14.1 You are liable to us for loss, damage and reasonable costs we suffer as a direct result of your breach of clauses 8 or 9, or of Your Content infringing someone else's rights. This liability is reduced to the extent the loss was caused or contributed to by us.
15. Changes to these Terms
15.1 We may update these Terms from time to time, for example to reflect changes to the Service or the law. We will post the updated Terms on this page with a new "last updated" date.
15.2 If a change materially affects your rights, we will email you at least 30 days before it takes effect. If you do not agree with the change, you may cancel before it takes effect. If you are on a prepaid plan and the change materially disadvantages you, you will receive a pro-rata refund of any unused prepaid fees. If you keep using the Service after the change takes effect, you accept the updated Terms.
16. Notices and communications
16.1 You agree that we may send you notices and other communications about your account, billing and these Terms by email to the address on your account, or by notice within the Service. Product updates and marketing emails are sent only if you opt in, and you can unsubscribe at any time.
16.2 Notices to us must be sent to [email protected].
17. Complaints and disputes
17.1 If you have a complaint, please contact us first at [email protected]. We will acknowledge it within 2 business days and aim to resolve it within 14 days.
17.2 If we cannot resolve it, either of us may refer the dispute to the courts. Nothing in this clause stops you contacting a consumer protection agency such as Consumer Affairs Victoria or the ACCC, or exercising your Non-Excludable Rights.
18. General
18.1 Governing law. These Terms are governed by the laws of Victoria, Australia. Each party submits to the non-exclusive jurisdiction of the courts of Victoria and the courts that may hear appeals from them. If you are a consumer living elsewhere in Australia, you may also bring proceedings in your own state or territory.
18.2 Events outside our control. We are not liable for delay or failure caused by events beyond our reasonable control, such as outages of hosting, payment or data providers, internet failures, cyber attacks or natural disasters. We will take reasonable steps to minimise the effect.
18.3 Transfer. We may transfer our rights and obligations under these Terms to a purchaser of the Service, provided your rights under these Terms are not reduced. We will tell you if this happens. You may not transfer your account.
18.4 Severability. If any part of these Terms is invalid or unenforceable, it will be read down or severed to the extent necessary, and the rest of the Terms continue in effect.
18.5 Waiver. If we do not enforce a right straight away, we have not given it up.
18.6 Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and us about the Service, subject to your Non-Excludable Rights.
